I got nothing against job creators. But the myth that lower capital gains taxes encourages investment is a load of carp. The world is awash with cash looking for investments. There's no shortage of capital. Big corporations like Apple have more money than they know what to do with. Billionaires have more money than they know what to do with (and yes, I've known several, it's not just me guessing). They're not creating jobs, they're just hoarding.

For the most part, it just allows richer people to pay less tax on their earnings than poorer people.

Got one client I'm working on now, doesn't even need a will, just a TODD and a Beneficiary designation on the bank accounts.
Got another client with about half a dozen trusts, private placement insurance solutions, and off-shore entities.
There's no single answer that's right for everybody

At most, a full-service package of a will, HCD, POA, TODD, and preparation of those forms shouldn't be more than $2k.

But i worked on a case with one of the largest if not the largest products liability verdicts in the US history. The client was not happy but thankfully the appeals court took mercy and issued a remittur that reduced the amount from billions to millions.

tax LLM can give you several options right out of law school:

Estate Planning (if it's the right boutique you might have hit the jackpot)
Accounting/CPA type work (might as well just be a CPA)
Biglaw tax practice (grueling, but...)

The exit options from a biglaw tax practice are numerous. Here's a few off the top of my head:
- corporate barter
- captive insurance
- Fortune 500 tax strategist
- family office investment management

I have been pressured to get it. But ain't about to do another round of student loans.

Many of my friends gotten it but they lucked bc trump did his reform and there was a crazy hiring spree for the grads.

I think going for it now is a risky proposition because hiring has normalized back to pre trump tax cuts for the most part.

Obviously if you ain't doing nyu, gtown or florida,.... The answer is no.

Most of my friends have gtown tax llm. Most got jobs at big four. Only people who I know that got biglaw were foreingers from wealthy families. But biglaw did hire several people gtown tax llm over the last few years.

Big four now pays over 100k for those tax jobs, they are easier to get than big law.

But is the 100k salary worth adding another 100k of student loans... I would say no but some of my friends thought it was better than the alternative.

I just couldn't handle 300k of loans even on that salary. Needless to say they are on IBR with no end in sight.

UCI is supposed to be up and coming with its Tax LLM.

Lots of people on JDU are on IBR, one guy in Sac has two homes.
I also see plenty of law applicants telling each other to go sticker for T14s, then they say to just go LRAP or IBR. For myself I wouldn't want to take on 300k of loans, for I don't really think anything in life is certain.

Many people want to do tax llm now bc they see and hear people getting good and decent jobs easily. I don't think they understand that was trump tax cuts fluke and that it won't be as easy for them going forward. Since they would get it at best in 2020.

The initial hiring wave was huge but it has passed.

But if they really want to do tax... Llm is a huge leg up. Not having it and working in it has been limiting my ability to move into better positions.

quick answer: no.

More nuanced answer: a tax LLM from a CA school won't get you a job you couldn't get without the LLM. So looked at purely from a resume perspective, it's like doubling down on a bad investment. On the other hand, if you went to some BS school that nobody cares about, having the LLM from a more reputable law school might help a little bit.
There are some LLM preferred jobs, but they'll take experience and pedigree over the LLM any day of the week.

On the flip side, if you're in it for the knowledge (HA), you could get a decent education getting an LLM. Of course, at that price, it'll just prove that you're a fool to anyone in the know.

Just go to community college, take the accounting courses, sit for all 4 parts of the CPA. Work at a sh!t firm get them to sign your license. Then go to a big 4. Big 4 will take anybody with a little experience or interest in tax right now.

Unfortunately, most trump supporters I've come across are the latter type - they believe the memes, take "their" politicians lies as gospel, and have a vitriolic hatred for libruls.

(I have also come across plenty of people who voted for trump because of various reasons, but aren't brainwashed acolytes. I'm perfectly fine with them).

Note: I have the same disdain for bernie supporters, AOC radicals, et al.

- the continual quest for more business
- everything costs money
- if you're not paying someone to perform a certain task, you're doing it yourself
- I'm responsible for everything
- having to do a gazillion tasks you otherwise take for granted (or needing to pay someone to do them)

advantages:
- I'm in charge of my schedule; if I feel like it, I can just take a day off
- Nobody is earning extra money off my labor

Hours worked & salary:
varies, but I typically work 20-30 hours per week; Being a business owner, net matters far more than gross. Had days where I grossed 5 figures, had weeks where I grossed nothing. After covering all the various costs, I'm not making anywhere near what I used to, but I have time to spend it. Salary is somewhat commensurate with the time I spend working.

I know someone who is trying to decide law schools, but does not want to attend law schools in the South, different lifestyle for CA born and bred types. Do you think to achieve the type of career she has where she runs her own shop, and works basically part time, you can only do that in the South? Because if you were in NYC or CA you basically have to work nonstop to pay off your mortgage and student loans, own shop is not an option, unless you can't get work and that's your only option. Here's what you asked....

trijocker: obviously, I can't answer for dingbat, but i did want to answer another question of yours from the law forum (I can't post there). Specifically:

"What if you had to choose between BU and CAL, or UCI, which is nearly ranked the same as BU?"

That is a no-brainer, someone who wants to practice in CA should go to a CA school, unless they get into a T14. You can maybe justify going to a far away school if your close choice is a joke (like TJ law v. BU), but absolutely do not go to a far away school with a similar, or even higher ranking as long as the local school is not a joke. Trust me, I'm not in Cali, but I know several people from NY who went to schools like UW-Madison, U of Iowa, Minnesota and whatnot because of the higher ranking vs. a local NY rathole (but a marginally well-known one) like Brooklyn or Carbozo... unless they got NYC BigLaw right out of school (unlikely!), they are ALL doing doc review... NO ONE in NY knows what these schools are or even that they are high-ranked... I suspect in the same deal on the other coast. Your relative/friend/whoever needs to go T-14 or go Cali local if he/she wants to practice there.

If only they knew with all the indebtedness theyd just end up doing doc review. All because they are sold on the idea of numerical ranking only.

Wolfman is absolutely right. The rankings are NOT what matters. Basically, the real rankings are:

1 - HYS
1.5* maybe a few other T14s, depending on location
2 - Regional T-20 (e.g. in Texas, UT is preferred, in Tennessee, Vandy)
3 - depending on location, the rest of the T14, maybe schools like UT, UCLA, Vandy
4 - Regional Powerhouse. In smaller regions, it's the best school around. In big markets, it's the best non-T14; e.g. in NYC, Fordham, in Washington, GW, in San Fran, Hastings
5 - Other regional schools that are not a joke; in tertiary markets, the only school around (e.g. University of Wyoming, Vermont Law Schools)
6 - Any other law school in the rest of the country
7 - the regional joke law schools, like Touro or Cooley

I do not subscribe to the idea that nobody can beat the market, because I've met people who can. The problem is that very few people truly have the time, skill, diligence, and knowledge, to really figure it out. The people who can beat the market are few and far between. Even then, it only takes a small slip-up to ruin the track record. When it comes to money-managers, the truly exceptional managers get picked up by hedge funds and aren't available to the public.

Now, taking that small sample out of the equation, there are still things that smart investors can do that's different than pure gambling. If you know what you're doing, it's less like playing roulette, and more like blackjack if you could hold off on betting until you see your opening cards, or more like texas hold'em after the flop is showing. it's still a gamble, but you can sorta see where things are going, and you should be able to estimate the odds.

you're right.

The reason to incorporate in Delaware is because Delaware has the most advanced corporate laws / jurisprudence. Basically, if there's ever a dispute between e.g. shareholders and management, in DE it's highly likely that the issues are already settled law, which minimizes the controversy. Contrast that with e.g. Wyoming, where many corporate disputes would be matters of first impression That's a major reason for Fortune 500 companies, so it makes sense for them to be incorporated in Delaware. But it's rarely a legitimate concern for your local hardware store or franchise restaurant, so it's really not worth the expense of dealing with DE.

Another reason is for startups with the intent to raise VC and/or to sell the company to PE, or some such, investors are familiar with DE corporate law, and may require the company to redomesticate to DE, so it will make sense to incorporate in DE. (note: this is a much more in-depth conversation. Not all investors will care, and local investors tend to be familiar with local laws; so this may not make a difference. For tech companies, it may be imperative to include California corporate law into any discussion about place of incorporation, but that's a much longer conversation)

The third reason is for companies located in New York State, as State law makes 10% or greater shareholders personally liable for certain debts of the company, so I think it's bordering on malpractice to allow a client to incorporate in New York.

*Bonus: some businessmen will hear about benefits of incorporating in some other jurisdiction like Arizona or South Dakota. That's even more overrated. One should either incorporate in their own state, or in Delaware. The benefits of those other jurisdictions are minimal, and certainly not worth the effort required.
